Terms of use
1. Agreement
These terms govern use of Engage provided by Vinco Sport Ltd. By using the service you accept them; if you use it for an organisation, you accept on its behalf.
2. The service
We provide the features described on the product page and any agreed statement of work. We may improve or modify the service provided core functionality is not materially reduced during a paid term.
3. Service-specific provisions
These provisions apply to this particular service. Where they differ from the general sections below, these apply.
- Engage is provided by Vinco Sport Ltd under the law of England and Wales, with the courts of England and Wales having exclusive jurisdiction. Connecting an account or using the tool accepts the full terms.
- Engage is not provided, sponsored, endorsed by, or affiliated with Meta or Instagram. Your use of Instagram remains governed by Meta's own terms.
- You must be 18 or over, and may only connect Instagram Business or Creator accounts you own or are authorised to manage. You are responsible for the automations you build and every message they send.
- You must comply with Meta's Platform Terms, Developer Policies and Community Standards: no spam, no bulk unsolicited messages, nothing unlawful, misleading, harassing or infringing, and links that are safe and go where they say.
- You must have a lawful basis for the messaging you carry out, honour opt-outs and deletion requests, and comply with UK GDPR and PECR. A data processing agreement is available where we act as your processor.
- The compliance guardrails, the 24-hour messaging window, throttling and reply rotation, are part of the service. A held-back send is intended behaviour, not a fault, and the guardrails must not be bypassed.
- Fees exclude VAT and are billed monthly or annually in advance, not in arrears. Subscriptions renew automatically, you can cancel with effect from the end of the current period, and price changes take effect at renewal on 30 days' notice. Overdue amounts may carry interest at 8% above the Bank of England base rate.
- The service is provided as is and as available. Message delivery depends on Meta's platform and is not guaranteed, and we are not liable for action Meta takes against an account because of how you configured or used the tool.
- Liability is capped at the fees paid in the preceding 12 months, or £100 where the service is provided free. Nothing limits liability that cannot be limited by law.
- We may suspend or end access for breach, non-payment, or if Meta withdraws the access the service depends on, normally with notice and a chance to put it right. On termination we delete automations, conversation data and tokens.
- The Engage software and brand belong to Vinco Sport Ltd; your automation content and account data remain yours.
4. Fees & payment
Fees are as quoted or listed on the pricing page, exclusive of VAT. Invoiced fees are payable within 30 days of invoice; subscription fees are payable in advance where section 3 or your order says so. Overdue amounts may carry interest at 8% above the Bank of England base rate, the statutory rate under the Late Payment of Commercial Debts (Interest) Act 1998.
5. Content & IP
You retain rights in your content and grant us the licence needed to operate the service. We retain all rights in our platforms, software and know-how. Where we produce material for you, rights in the delivered material are as set out in section 3 or in your statement of work, which takes precedence over this section.
6. Acceptable use
No unlawful, infringing or abusive use; no attempts to breach security or exceed agreed volumes; compliance with third-party platform rules where the service connects to them.
7. Liability
Nothing excludes liability that cannot be excluded by law. Otherwise each party's aggregate liability is capped at fees paid in the previous 12 months; neither party is liable for indirect or consequential loss.
8. Term & governing law
Either party may terminate for material breach that remains unremedied 30 days after written notice. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
